Acceptable Use Policy (AUP)

This Acceptable Use Policy (the “AUP”) describes prohibited uses of the communication services, software, equipment, and network infrastructure (collectively, the “Services“) provided by Computer Guild Telecom LLC (“we,” “us,” or “our”).
By accessing or using the Services, the Client (and all of its end-users) agrees to the terms of this AUP. Any violation of this AUP constitutes a material breach of the agreement between the Client and Computer Guild Telecom LLC and may result in the immediate suspension or termination of Services.
1. General Prohibitions and Lawful Use
1.1 Lawful Use
The Services must be used solely for lawful purposes and may not be used in connection with any criminal or civil violation. This includes, but is not limited to:
- Violating any applicable local, state, federal, or international law or regulation.
- Engaging in or promoting fraudulent or deceptive activities, including financial scams, identity theft, or phishing.
- Transmitting or storing illegal content, including child exploitation material.
1.2 Harmful and Offensive Content
The Services may not be used to transmit, store, or distribute content that is, in our sole discretion:
- Abusive, harassing, defamatory, or libelous.
- Threatening, abusive, or designed to incite violence or hatred.
- Invasive of another person’s privacy.
1.3 Intellectual Property Infringement
The Services may not be used to transmit, distribute, or store any information, data, or material protected by copyright, trademark, trade secret, patent, or other intellectual property rights without proper authorization from the rights holder.
2. Network and System Integrity
2.1 Security and Unauthorized Access
The Client is prohibited from engaging in any activity that compromises the security or integrity of our network or any third-party network, including:
- Gaining or attempting to gain unauthorized access to any network, system, account, or resource.
- Probing, scanning, or testing the vulnerability of any system or network without express written authorization.
- Distributing malware, viruses, worms, or other harmful code or software designed to interfere with, disrupt, or steal data.
- Engaging in password mining or the use of automated tools to compromise security.
2.2 Network Disruption
The Client must not interfere with, disrupt, or overload the Services or networks connected to the Services. Prohibited activities include:
- Denial of Service (DoS) attacks or distributing malicious code that causes network flooding or congestion.
- Using the Services in a manner that restricts, inhibits, or otherwise interferes with the ability of any other person to use or enjoy the Services.
3. Telephony, Messaging, and Unsolicited Communications
3.1 Unsolicited Communications (Spam and Robocalls)
The Services may not be used to send or facilitate unsolicited communications. This includes, but is not limited to:
- Sending unsolicited commercial electronic messages (Spam), including bulk SMS, mass email, or mass faxing.
- Initiating illegal robocalls or sending automated calls/messages without the recipient’s prior express consent as required by law (e.g., TCPA, telemarketing rules).
- Failing to honor and implement Do Not Call (DNC) requests and opt-out requests from recipients promptly and accurately.
3.2 Caller ID and Identity Integrity
The Client must ensure that all call signaling and identification are accurate and compliant with all applicable laws (e.g., FCC’s Truth in Caller ID Act and STIR/SHAKEN framework).
- Caller ID Spoofing or using a Caller ID (CLI) or Caller Name (CNAM) that is false, misleading, deceptive, or unauthorized is strictly prohibited.
- The Client must not take any action to bypass or undermine the security protocols, including STIR/SHAKEN, implemented to combat illegal robocalls and spoofing.
3.3 Abnormal or Excessive Use (Unlimited Plans)
For Services sold with “unlimited” usage plans, the Client’s usage must be consistent with that of a typical, single business user. The following uses are considered abnormal, unreasonable, or impermissible:
- Using the Service for a call center, auto-dialing, or continuous, high-volume outbound calling not typical of standard business communications.
- Reselling, rebranding, or commercially exploiting the Services to aggregate traffic from multiple customers over a single line or trunk without explicit written agreement.
- Engaging in long-duration calls (e.g., calls to the same number in excess of four cumulative hours in a 24-hour period) solely to generate charges or fees.
4. Emergency Calling (911/E911) Limitations
CRITICAL DISCLOSURE: The Services provide Voice over Internet Protocol (VoIP) emergency calling (911/E911) which may have limitations compared to traditional landline 911 service.
- Relocation: 911 calls will only route properly if the Client has provided and registered the correct physical service address. If the physical location of the VoIP equipment changes, the Client must immediately update their registered address with Computer Guild Telecom LLC.
- Service Failure: 911/E911 service may not function in the event of a power outage, internet service disruption, or suspension/termination of the Services.
- The Client is obligated to inform all users of the Services of these limitations.
5. Client Obligations and Enforcement
5.1 Client Reporting and Cooperation
The Client shall immediately notify Computer Guild Telecom LLC if they become aware of any violation of this AUP by any of their end-users or third parties. The Client agrees to cooperate fully with any investigation we conduct regarding suspected violations.
5.2 Enforcement and Remedies
Computer Guild Telecom LLC reserves the right, at its sole discretion, to take any or all of the following actions in response to a violation of this AUP:
- Issue a warning or request to cease the prohibited activity.
- Temporarily suspend the Services, in whole or in part, without liability.
- Immediately terminate the Services without liability, with the Client remaining responsible for all outstanding charges.
- Cooperate with legal authorities and third parties in the investigation of alleged illegal or abusive activities.
5.3 Indemnification
The Client agrees to indemnify, defend, and hold harmless Computer Guild Telecom LLC against any and all claims, damages, liabilities, costs, and expenses arising from the Client’s or its end-users’ violation of this AUP.
